General Conditions of Sale (CGV) Coldep

These General Conditions of Sale (hereinafter “CGV”) apply exclusively to all sales concluded by COLDEP (hereinafter “the Seller”) to professionals and industrialists (hereinafter “the Customer”). wishing to acquire the water treatment systems offered by the Seller, both for the treatment of industrial effluents and for water treatment systems in the field of aquaculture.

1. Object

The General Terms and Conditions aim to define the conditions under which the products and services are sold by COLDEP to the Customer. They govern all the steps necessary for placing the order and monitoring this order between the contracting parties.

2. Orders

Any order implies the Customer’s unreserved acceptance of these General Terms and Conditions. The order is deemed firm and final after receipt by the Customer of an order confirmation from the Seller.

3. Prerequisites for installation

For the installation of the treatment system called VAL, the Customer must meet prerequisites set in advance by the Seller. At a minimum, these conditions include:

Secure access to the site where the VAL system will be installed. Electrical access adapted to the specific needs of the VAL system.

Access to a wired connection system for data transmission. In the absence of the possibility of wired connectivity, a cellular connection must be considered and implemented.

Failure to comply with these prerequisites may result in a postponement of installation until compliance by the Customer.

4. Price and payment

4.1 The prices of the products and services are those indicated in the quote provided by the Seller to the Customer. They are expressed in euros, excluding taxes, and must be increased by the taxes applicable on the day of invoicing.

4.2 Unless otherwise specified, payments will be made as follows: 50% of the total amount upon ordering, 40% upon delivery, and 10% upon final receipt after filling with water.

4.3 Any late payment will result, automatically and without prior notice, in the application of late payment penalties calculated on the basis of three times the legal interest rate.

5. Delivery

Delivery is made to the address indicated by the Customer at the time of the order. Delivery times are given as an indication and a delay in delivery cannot give rise to compensation. 

6. Receipt and complaint

Receipt of the products by the Customer must be made at the time of delivery. Any complaint relating to apparent defects or non-conformity of the delivered product must be made in writing within eight days of delivery.

7. Hardware warranty

7.1 The equipment sold by COLDEP is guaranteed for a period of one (1) year from delivery of the equipment. This guarantee covers the free replacement of all parts which are found to be defective due to a hidden defect in the material, assembly, or construction, upon expertise of the Manufacturer.

7.2 This guarantee is only acquired by the buyer subject to normal use of the equipment and provided that the operating instructions provided to the Customer by COLDEP or the Manufacturer of said equipment are respected.

8. Guarantee of conformity of treated water

8.1 The guarantee of conformity of the results obtained with the treatment system is essentially a function of the veracity and precision of the information provided by the Client concerning the nature of the problem to be treated. This information, generally included in our quotes or offers, includes in particular: the nature and quantity of polluting elements contained in the effluent, with supporting analyses. The dimensions of the devices or materials already in place. The volumes or quantities of operating flow rates.

8.2 COLDEP's responsibility for the conformity of the results is therefore conditioned by the accuracy of the information provided by the Client. In the event of provision of erroneous or inaccurate information, COLDEP cannot be held responsible for the non-conformity of the results obtained.

11. Use of photos of installations

The Seller may freely use photos of VAL installations for its promotional purposes, provided that the Customer's identity and site remain confidential. These images may be used without prior consent from the Client in our marketing materials or communication media.

10. Force majeure

COLDEP's liability cannot be enforced if the non-execution or delay in the execution of one of its obligations described in these General Terms and Conditions results from a case of force majeure.

11. Applicable law and competent jurisdiction

These General Terms and Conditions and the operations resulting from them are governed and subject to French law. Any dispute relating to the interpretation and execution of these General Terms and Conditions will be brought before the competent courts in the jurisdiction of COLDEP's head office.

The Customer declares to have read these General Terms and Conditions and to accept them without reservation. The applicable General Terms and Conditions are those in force on the date of the order. COLDEP reserves the right to modify its General Terms and Conditions at any time.
